    General Terms and Conditions (GTC)

    § 1 Scope of Application

    These General Terms and Conditions apply to all business relationships between OffWhite.City UG, Gronewegskamp 3, 48159 Münster (hereinafter "Seller") and the customer (hereinafter "Buyer"). Only these GTC shall apply. Deviating terms of the Buyer are not recognised unless the Seller expressly agrees to their validity in writing.

    § 2 Subject Matter

    The Seller supplies window and door systems for commercial construction projects. The offer is aimed exclusively at entrepreneurs within the meaning of § 14 BGB (developers, construction companies, project managers, architects). Minimum order quantity: 30 windows.

    § 3 Offer and Conclusion of Contract

    The Seller's offers are non-binding. A contract is only concluded upon written order confirmation by the Seller. The order confirmation is decisive for the scope of delivery.

    § 4 Prices and Payment

    All prices are net plus statutory VAT and shipping costs. Prices are calculated on a project basis. Payment terms: 50% deposit upon order confirmation, 50% before delivery, unless otherwise agreed. In the event of late payment, the Seller is entitled to charge default interest at a rate of 9 percentage points above the base interest rate.

    § 5 Delivery

    Delivery times are non-binding unless expressly confirmed as binding. The standard delivery time is 6–8 weeks from order confirmation and receipt of payment. Delivery is ex works (EXW) or free to construction site by arrangement. Partial deliveries are permitted.

    § 6 Transfer of Risk

    The risk of accidental loss or deterioration of the goods passes to the Buyer upon handover to the freight forwarder or carrier.

    § 7 Defect Notification and Warranty

    The Buyer must inspect the goods immediately upon receipt. Obvious defects must be reported in writing within 5 working days. The warranty period is 12 months from delivery. In the case of justified defect claims, the Seller has the right to repair or replace.

    § 8 Liability

    The Seller is liable without limitation in cases of intent and gross negligence. In cases of slight negligence, the Seller is only liable for breach of essential contractual obligations, limited to foreseeable, contract-typical damage. Liability for indirect damages and lost profits is excluded.

    § 9 Retention of Title

    The delivered goods remain the property of the Seller until full payment has been made.

    § 10 Applicable Law and Jurisdiction

    The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from the contractual relationship is Münster.

    § 11 Severability Clause

    If any provision of these GTC is invalid, the validity of the remaining provisions shall remain unaffected.
